This Vendor Merchant Agreement (the “Agreement”) is entered into by and among Angle Enterprise LLC and PUBLISHER'S LEGAL BUSINESS NAME (DBA PUBLISHER'S BRAND NAME) (collectively, the Platform Providers) and you, the Vendor (“Vendor” or “you”).
Angle Enterprise LLC is a Delaware Limited Liability Company that provides e-commerce and event ticketing solutions.
PUBLISHER'S LEGAL BUSINESS NAME (DBA PUBLISHER'S BRAND NAME) – a 501(c)(3) nonprofit organization under the laws of the State of California.
Together, Angle Enterprise LLC and Long Beach Journalism Initiative (DBA the Long Beach Post) are referred to as the Platform Providers.
The Platform Providers provide a marketplace for Vendors to sell tickets and manage event listings on a dedicated Publisher-branded subdomain (e.g., events.publishername.com).
Vendors are responsible for event quality, refunds, and compliance with applicable laws.
By using the Platform Providers’ services, the Vendor agrees to be bound by this Agreement and the Terms of Service.
To use the Vendor services, you must:
The Platform Providers may require additional verification, such as:
Failure to provide accurate or updated information may result in account suspension or termination.
Platform Providers collect payments on behalf of Vendors via Stripe or other authorized payment processors.
Payments include ticket price, service fees, applicable taxes, and processing fees.
Vendors receive payouts within 3 business days after an event concludes.
Publishers receive payouts monthly (on the 10th of each month, or the next business day).
Vendors are responsible for handling all refund requests according to the Vendor Refund Policy.
Vendors bear all liability for chargebacks, disputes, and consumer claims.
If chargebacks occur after payout, the amount will be deducted from future earnings or invoiced directly to the Vendor.
A flat $2.00 per ticket service fee applies to all ticket sales.
This fee is split between the Platform Providers and the Publisher.
Platform Providers may withhold funds for outstanding fees, chargebacks, or refund obligations.
If insufficient funds exist, Vendors must reimburse any outstanding balance upon request.
Vendors must accurately represent event details and ticket policies.
Vendors must comply with all applicable laws, venue regulations, and health & safety guidelines.
Events that are illegal, fraudulent, or violate community standards may be removed.
Vendors must establish clear refund policies in compliance with the Vendor Refund Policy.
If an event is canceled, postponed (without rescheduling in 90 days), or otherwise fails to occur, Vendors must issue refunds.
Platform Providers may issue refunds on behalf of Vendors and deduct the amounts from future payouts.
Customer data (attendee information, purchase history, etc.) is co-owned by the Platform Providers.
Vendors may only use customer data for event fulfillment and may not share, sell, or misuse attendee information.
Vendors must comply with all privacy laws, including CCPA and GDPR.
Vendors must protect personal data and report any security breaches immediately.
Any consumer privacy requests (e.g., data deletion) must be forwarded to Platform Providers.
Vendors may not use the platform for:
Failure to comply may result in account termination, legal action, or law enforcement reporting.
Vendors assume full responsibility for event operations, customer complaints, and financial obligations.
Vendors agree to indemnify and hold harmless the Platform Providers from any claims related to their event.
The Platform Providers are not responsible for event failures, refunds, or vendor disputes.
Liability is limited to the amount of service fees collected within the past 3 months.
“All disputes shall be resolved through binding arbitration in the State of Delaware in accordance with the Federal Arbitration Act and the rules of the American Arbitration Association.”
No class action lawsuits are permitted.
Delaware law governs all disputes, claims, and interpretations of this Agreement.
Platform Providers may terminate Vendor accounts at any time for violations of this Agreement.
Vendors must honor outstanding orders, refunds, and chargebacks even after termination.
Platform Providers may update this Agreement at any time. Vendors will be notified of material changes.
Continued use of the platform constitutes acceptance of updated terms.
Failure to enforce any term does not constitute a waiver of rights.
