1. Who We Are

1.1 About Us

Welcome to The City Angler Events! We’re glad you’re here.

This Vendor Refund Policy ("Policy") is entered into by and among:

  • Angle Enterprise LLC – a Delaware Limited Liability Company ("Angle Enterprise LLC," "we," "us," or "our"), which provides e-commerce and event ticketing solutions.
  • PUBLISHER'S LEGAL BUSINESS NAME (DBA PUBLISHER'S BRAND NAME) – a 501(c)(3) nonprofit organization under the laws of the State of California (the "Publisher").

Together, Angle Enterprise LLC and PUBLISHER'S LEGAL BUSINESS NAME (DBA PUBLISHER'S BRAND NAME) are collectively referred to as the "Platform Providers" ("we," "us," or "our").

The Platform Providers offer Vendors access to event ticketing and e-commerce tools through a dedicated subdomain on the Publisher's website (e.g., events.publisherwebsite.com). This platform helps Vendors sell tickets, manage events, and engage with local communities while also generating revenue for both the Publisher and Angle Enterprise LLC.

By registering as a Vendor, you agree to the terms outlined in this Policy, as well as our Terms of Service and Vendor Agreement.

2. Order of Precedence

In the event of a conflict between or among this Vendor Refund Policy, the Vendor Agreement, and the Terms of Service, the following Order of Precedence applies:

  • Vendor Agreement (controls vendor obligations, payouts, and liability).
  • Terms of Service (governs consumer transactions and general platform use).
  • This Vendor Refund Policy (governs specific refund requirements).

3. Refund Policies and Administration

3.1 Minimum Requirements

Each Vendor must establish a clear and enforceable refund policy that complies with the following requirements:

  • Refund policies must be posted on the applicable event page.
  • "No refund" policies are allowed but must be clearly disclosed.
  • Refund policies must allow refunds for the situations outlined in Section 4.1 Specified Refunds.
  • Policies must comply with all applicable laws and payment network rules.
  • Refund policies must include instructions on how to request a refund.
  • Vendors must respond to refund requests within five (5) business days.
  • Refund policies may not be changed retroactively unless they improve consumer rights.
  • Refund policies must be fair and reasonable.

If a Vendor’s refund policy does not meet these minimum requirements, Platform Providers reserve the right to modify it to comply with these terms.

4. Specified Refunds

4.1 Mandatory Refund Situations

Vendors must provide refunds when:

  • The event is canceled or not fully performed.
  • The event is postponed and not rescheduled within 90 days.
  • The event description at purchase differs significantly from the actual event.
  • Attendees cannot access the venue due to the Vendor’s failure to plan.

If a Vendor fails to issue these refunds, Platform Providers may issue them on the Vendor’s behalf and deduct the amount from future payouts or invoice the Vendor directly.

4.2 Refund Processing Timeline

  • Vendors must respond to refund requests within five (5) business days.
  • Once a refund is approved, the Vendor must process the refund within ten (10) business days.

5. Platform Providers’ Right to Issue Refunds

5.1 When Platform Providers May Issue Refunds

Regardless of the Vendor’s posted policy, Platform Providers may issue refunds if:

  • The Vendor fails to respond to a refund request within five (5) business days.
  • A refund is required by payment network rules or consumer protection laws.
  • The Vendor’s event violates Terms of Service or Community Guidelines.
  • There is evidence of fraudulent transactions.
  • Chargebacks are highly likely to be lost, creating platform risk.

5.2 Reimbursement & Withholding Rights

If Platform Providers issue refunds on a Vendor’s behalf, the Vendor is responsible for reimbursing the refunded amount.

Platform Providers may:

  • Withhold future payouts.
  • Invoice the Vendor.
  • Debit the Vendor’s payment method to recover refunded amounts.

6. No Insurance or Guarantee

This Policy does not guarantee that Platform Providers will issue refunds in any specific case. Vendors remain fully responsible for all refund obligations under this Policy.
